Tailwater to Acquire Tall Oak II/III From EnCap, Merge With Connect Midstream

Tailwater Capital has signed definitive agreements to acquired Tall Oak Midstream II and III from EnCap Flatrock. Tailwater III will acquired Tall Oak III while Tailwater IV will separately acquired Tall Oak II. Tall Oak III assets are primarily located in the Arkoma Basin with operations across three countries the STACK rich gas window. Tall Oak II has 750 miles of low- and high-pressure gathering lines across eight Oklahoma counties in the STACK extension. The Tall Oak II transaction excludes Custer County assets which be called Oklahoma STACK Gathering System (OSGS) which will be managed by Tall Oak. The Tall Oak management team will operate Connect Midstream which operates in the same geographic region. Tudor Pickering Holt served as an advisor to Tailwater.

These transactions are the next logical step in both Tailwater and Connect Midstream's long-term Arkoma STACK consolidation and growth strategy and will significantly expand our footprint and processing capacity in the liquids-rich Arkoma Basin.
