Sempra Energy announced a series of transactions to combine IEnova and Sempra LNG into Sempra Infrastructure Partners with a share exchange and public listing. The company plans to launch a stock-for-stock exchange for publicly-traded shares of IEnova listed on the Mexican stock exchange at a ratio of 0.0313. The company plans to sell a non-controlling interest in Sempra Infrastructure Partners to fund growth of this business. The combine business includes LNG and pipeline facilities and projects in the United States and Mexico as well as 4.0 gigawatts of power generation in Mexico. These transactions are expected to close by the end of the first quarter 2021.
